Pursuant to Article 38 of the Law on Takeover of Joint Stock Companies („Official gazette RS”, number 65/08 and 92/09), the Bidder VIENNA INSURANCE GROUP AG, Wiener Versicherung Gruppe, registration number: FN 75687, TID: 4400590750002, address: Schottenring 30, 1010 Vienna, Austria, announces the
REPORT ON TAKEOVER
Of Joint Stock Company Jahorina osiguranje a.d. Pale, Svetosavska 24, 71420 Pale
The Bidder has on December 08, 2011. in the daily newspaper „Glas Srpske” published the Public Takeover Bid for takeover of issuer Jahorina osiguranje a.d. Pale.
There were no changes in the Bid as previously stated.
The Bid has expired on January 10, 2012.
The Bidder, on the day of the Public Bid, was the owner of 88.477 shares of the Issuer, local symbol SODJ-R-A, which are ordinary, with individual nominal value 100,00 KM, what represents 88.477 votes in the Assembly of the Issuer or 96,63281% of total number of votes, and owner of 19.394 priority-cumulative shares class „B”. In the Takeover procedure the Bidder acted independently.
In duration of the Public Bid total of 1.761 shares were deposited, what represents 1.761 vote in the Assembly of the Issuer or 1,9233% of total number of votes. The Bidder has paid the deposited shares in stipulated period. There were no shares which were disputable for depositing, and there were no withdrawals of deposited shares.
The Bidder has in accordance with Article 18 of the Law on Takeover of Joint Stock Companies („Official gazette RS” number 65/08 and 92/09), used the right on transfer of all shares which were not deposited during the validity of this Takeover Bid – Squeeze out clause, and on basis of that Central Registry of Securities a.d. Banja Luka transferred remaining shares which were not deposited in takeover procedure, to the account of the Bidder.
Upon completed takeover procedure, the Bidder is owner of total of 91.560 shares, what represents 91.560 votes in the Assembly of the Issuer or 100,00% of the total number of votes.
